Terms of Service for Ampian

Welcome to Ampian. These Terms of Service ("Terms") govern your access to and use of the Ampian application, website, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Services

Ampian provides prospective homebuyers, tenants, and current homeowners with data-driven property analysis tools:

  • The Zoning Oracle: Generates "Risk Reports" analyzing current zoning classification and overlays, recent nearby development news, school quality, and climate risks to identify potential restrictions, overlays, and land-use changes.
  • The Property Tax, Insurance, and Utility Forecaster: Uses AI synthesis over authoritative federal and market data sources to model what-if scenarios and estimate realistic monthly ownership costs, including taxes, homeowners insurance, utilities, and maintenance.

Ampian is a trade name of LibeFI LLC, a Massachusetts limited liability company.

2. Pricing, Credits, and Subscriptions

Ampian operates on a hybrid pay-as-you-go and subscription model.

2.1 Pay-As-You-Go Reports

Users without an active subscription may purchase individual reports:

  • Zoning Report: per report
  • Forecaster Report: per report

2.2 Subscription Plans

Ampian offers two monthly subscription tiers. One (1) credit can be redeemed for either one (1) Zoning Report or one (1) Forecaster Report.

  • Pro Plan: /month. Includes credits per billing cycle.
  • Max Plan: /month. Includes credits per billing cycle.

2.3 Report Retrieval and Regeneration

Reports remain retrievable at no additional cost based on the originally generated property and parameters. Specific retrieval windows may vary by report type.

If a user wishes to regenerate a report for the same property to capture updated data, they must pay the a la carte fee or utilize an available subscription credit.

3. Credit Rollover, Expiration, and Plan Changes

3.1 Rollover and Expiration

Unused credits at the end of a billing cycle will automatically roll over to the next month. However, to prevent hoarding, all credits expire strictly twelve (12) months after their original date of issuance.

3.2 Upgrading and Downgrading Plans

Users may upgrade or downgrade their subscription tier at any time. When changing plans, the following rules apply:

  • Immediate Billing Reset: The user is immediately charged the full price of the new tier ( for Pro or for Max), and a new monthly billing cycle begins on that date.
  • Credit Stacking: The new allocation of credits ( for Pro, for Max) is immediately added to the user's account. Any existing, unexpired credits from the previous plan are retained and stacked with the new credits.
  • Expiration Tracking: Stacked credits retain their original 12-month expiration dates based on when they were initially issued.

3.3 Cancellation Policy

Users may cancel their subscription through two methods, which dictate how remaining credits are handled:

  • User-Initiated Mid-Month Cancellation: If a user cancels their subscription directly, the cancellation takes effect immediately. The account is immediately downgraded to the Free plan, and all remaining credits are instantly zeroed out and forfeited.
  • Admin-Assisted End-of-Cycle Cancellation: Users may contact Ampian Support to schedule a cancellation at the end of their current billing cycle. Under this method, the user retains access to their remaining credits until the final day of the current billing period. At the end of the period, the account downgrades to the Free plan, and any unused credits are zeroed out.

4. Refund Policy

All purchases are final once any credit or report has been generated or accessed.

Subscription credits: non-refundable once used. Refer to §3.3 for the cancellation methods that determine how unused credits are handled.

À la carte report purchases: non-refundable once the report has been generated, regardless of whether the report has been viewed or downloaded.

4.1 Auto-Renewal Disclosure

Your subscription will automatically renew each month at the price shown in §2.2(currently /month for the Pro Plan and /month for the Max Plan) until you cancel. Your payment method on file will be charged on the renewal date.

How to cancel: See §3.3 (Cancellation Policy) for the two cancellation methods. Cancellation must be initiated before the next renewal date to prevent the next month's charge.

This auto-renewal disclosure complies with the California Automatic Renewal Law (Bus. & Prof. Code §17600 et seq.) and similar consumer-protection statutes in other U.S. states.

5. Account Security and Data Integrity

Ampian handles sensitive property and financial projections. You are responsible for safeguarding your account credentials. We utilize industry-standard encryption and security protocols to protect your data. Unauthorized access, automated scraping, or reverse-engineering of our AI models or proprietary data pipelines is strictly prohibited and will result in immediate account termination.

6. Disclaimer of Warranties

The Service is provided AS IS and AS AVAILABLE, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Ampian makes no warranty that the AI-generated predictions, Risk Reports, or cost forecasts will be accurate, complete, or suitable for any specific decision. Users are responsible for independently verifying any data point before relying on it for a financial, legal, tax, or real estate decision.

7. Limitation of Liability

To the maximum extent permitted by law, Ampian and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service or reliance on the predictive models and reports. In no event shall Ampian's aggregate liability exceed the amount paid by the user in the twelve (12) months preceding the claim.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you irrevocably consent to the personal jurisdiction and venue of those courts.

9. Modification of Terms

Ampian reserves the right to modify these Terms at any time. Users will be notified of material changes by email to their account address or by in-app notice. Continued use of the Service after the effective date of any such change constitutes acceptance of the modified Terms.

10. Acceptable Use

In addition to the prohibitions stated in §5 (Account Security), users agree not to:

  • Reverse-engineer, decompile, or otherwise attempt to derive the underlying source or AI models of the Service or its outputs.
  • Resell, sublicense, or commercially redistribute reports, data, or predictions generated by the Service without prior written authorization from Ampian.
  • Use the Service to generate reports for properties the user does not own or is not actively considering as a homebuyer or tenant in good faith.
  • Attempt to access another user's account, data, or credit balance without authorization.

11. Termination and Suspension

For-cause termination. Ampian may immediately suspend or terminate your account, without notice, for any violation of these Terms — including but not limited to fraud, payment chargebacks, scraping, abuse of other users, security breaches, or violations of the prohibitions in §10 (Acceptable Use). For-cause termination does not entitle you to a refund of subscription fees or unused credits.

Not-for-cause termination. Ampian may terminate your account for any other reason (including discontinuation of the Service) by giving you at least seven (7) days' notice to your account email of record. In the event of not-for-cause termination, Ampian will issue a pro-rated refund of the unused portion of your current subscription period; unused credits will otherwise be zeroed out consistent with §3.3.

Data retention after termination. Following termination of an account (whether by Ampian or by the user under §3.3), your account data and previously generated reports will be retained for thirty (30) days, after which they will be permanently deleted. You may request an export of your reports during this window by contacting Ampian Support.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any policies referenced herein (including the Privacy Policy), constitute the entire agreement between you and Ampian regarding the Service and supersede any prior agreements, communications, or understandings, whether oral or written, regarding the same subject matter.

14. Eligibility

The Service is intended for users who are at least eighteen (18) years of age and capable of forming a binding contract under applicable law. By creating an account or using the Service, you represent and warrant that you meet this eligibility requirement. Accounts found to be created by users under the age of eighteen will be terminated under §11 (For-cause termination).
